Terms: Regular credit terms are available for accounts with approved credit. Our payment terms are Net 30 days with finance charges of 1.5% per month on the unpaid past due balance which equals 18% per annum. Unless credit is established prior to shipping, all sales are on a cash in advance of shipment basis. No C.O.D. shipments will be made.

Prices: Prices are wholesale prices for the Trade only and cancel all previous prices offered. Since prices in this catalog are based on conditions prevailing at the time of printing and cannot reflect unforeseen economic changes, all prices are subject to change without notice. All sales are made F.O.B. at our nursery.

Warranty Claims: We warrant our nursery stock to be true to description or name under which it is sold. However, we give no warranty as to the variety, productivity or fitness for any particular use of the plants we sell. No liability is assumed by Woodburn Nursery and Azalea, Inc. for delay or failure to deliver for any reason beyond our control. Under no circumstances will seller be liable for more than the purchase price of the plant.

Claims: No claim will be honored unless it is made in writing on the bill of lading upon receipt of the shipment. We also request that you notify us within 5 days of delivery if there is a count discrepancy or if any damage occurred during shipment. It will be at the sole discretion of Woodburn Nursery and Azalea, Inc. to evaluate and issue any and all credit adjustments.

Ordering Deadline: We advise our customers to have their nursery stock orders placed at our office by our August 10th order cut-off deadline each season. This will help ensure that each customer has an opportunity to be confirmed for any item ordered that may be in short supply. Any order received after this cut-off date will be confirmed from inventory on our open availability. Preliminary acknowledgements will be sent in September. Items will be confirmed as to quantity but not as to size. Final confirmations will be sent in late December with items confirmed as to quantity and size based upon our final crop inventories.

Shipping Seasons: Nursery stock orders are typically shipped from February through October. Not all plants can be shipped during all months due to weather, digging, or order restrictions. Multiple shipments of an order over time or shipments to multiple drop points can be arranged providing certain shipping minimums and other requirements are met. Please contact your sales representative or call our office for further information and procedures.

Shipping: Shipment of items on all orders are subject to crop conditions at the time of shipment. We reserve the right to refuse acceptance of an order if it is too small to meet all shipping and/or term requirements. Upon departure of an order from Woodburn Nursery and Azalea, Inc., we assume no liability for the plants or any claims for damages which occur en route. All such claims should be made with the carrier.

Substitutions: Every attempt will be made to fill all items as ordered and confirmed. Unless otherwise instructed and noted on an order, we will make substitutions to best conform to the items ordered. Substitutions to varieties of similar color, hardiness, and size (one grade up or down) will be made as a standard procedure whenever necessary.

Special Instructions: Please note any special instructions on your order regarding the items ordered, days closed, shipping method, shipping date or shipping locations. We will make every attempt to accommodate your requests.

Business Hours: Our normal business hours are from 8:00-4:30 PM PST. We are closed all legal holidays. Tours of our nursery and greenhouses are gladly given to our customers. Appointments are recommended and appreciated, but are not necessary, during normal business hours.

NURSERY STOCK STANDARDS: Our firm makes every effort to sell nursery stock which complies with the standards found in the most recent edition of the American Standard for Nursery Stock (ANSI Z60.1), published by the American Nursery and Landscape Association (the “Standard”). The principal function of the Standard is to help buyers and sellers of nursery stock communicate with confidence by using a comprehensive and consistent set of measurement and specification nomenclature. Compliance with the Standard is an assurance that you receive nursery stock which is consistent and which has been measured, sized, and prepared for shipment in the manner you expect. We are proud of this policy, and you should request adherence to the Standard from any other growers from whom you purchase nursery stock.
